Dynamic competition is becoming an ever more important aspect of merger review processes worldwide. Agencies focus closely on how merging Parties think about the future and this has brought increased attention to models and materials prepared by the Parties when valuing the transaction. Valuation models can be a powerful tool to assess antitrust concerns, and it is, therefore, important to use rigorous economic and financial analysis of these models when using them to predict future competitive outcomes.
In this Webinar, Matteo Foschi and Swati Kanoria, economists from Charles River Associates, will provide an overview of the valuation materials typically seen in the context of M&A transactions and how these materials can play a pivotal role in merger review.
Dr. Swati Kanoria is an Associate Principal in CRA’s Finance Practice with an expertise in market manipulation analysis, digital assets and cryptocurrencies, discounted cash flow modelling, firm valuation and damages calculations.
She supports clients on market manipulation matters in various financial markets involving instruments such as futures and bonds. Dr. Kanoria has worked extensively on the assessment of synergies and valuation models in antitrust M&A cases. She frequently assists clients in net present value analysis including identifying appropriate discount rates, preparing cash flow forecasts, and multiples analysis. Dr. Kanoria regularly works on projects related to digital assets and cryptocurrencies. She has also consulted on cases concerning executive compensation.
Prior to joining CRA, Dr. Kanoria was a visiting scholar at the NYU Stern School of Business during the final year of her PhD. She completed her PhD in Finance at the Warwick Business School in the UK, where her research focused on empirical corporate governance and applied theory in banking. At Warwick, she taught several masters’ and undergraduate courses related to corporate finance.
Dr. Matteo Foschi is Vice President at Charles River Associates’ European Competition Practice. He specialises in the competition assessment of cases involving multi-sided platforms, technology, and innovative sectors including Artificial Intelligence, content streaming, gaming, digital advertising, online retailing, OTAs, healthcare, and others.
Dr. Foschi is an expert in global merger review and has advised multiple companies in front of the European Commission, the UK CMA, the Australian ACCC, CADE, the Korean FTC, SAMR, as well as a list of other agencies worldwide. In his merger related work, Dr. Foschi held leading roles in high profile cases including Microsoft/Activision, Amazon/Deliveroo, Microsoft/ZeniMax, Taboola/Outbrain, Sabre/Farelogix, and others.
He has also extensive experience in antitrust work including working for Microsoft, Sabre, and other major technology companies worldwide.
